Asterisk integration module

End User License Agreement

This License Agreement is concluded between InformUnity LLC (hereinafter also referred to as "InformUnity" and "Licensor") and the person who has the direct use of the "Asterisk integration module" computer program, hereinafter referred to as "End User" and "Asterisk integration module" or "Computer Program".

This license agreement is a non-exclusive license.

1. Conclusion of the License Agreement

1.1. This License Agreement is concluded at the moment the End User expresses his explicit consent to its terms by checking the box "I accept the terms of the License Agreement", which is placed at the bottom of the form for installation of the application in Bitrix24 Marketplace or in any other way that clearly states the willingness to use Asterisk integration module for the intended purpose, including acquisition, installation, launch and actual work in the Computer Program. 

1.2. If the End User does not accept the terms of the License Agreement, he must refuse to use Asterisk integration module in any way, including all listed above, and he must remove the Computer Program from his personal computer, as well as from all other data storage devices.

2. Asterisk integration module – program description and serviceability requirements

2.1. The Asterisk integration module computer program is a set of data and commands expressed with the program code, database and program interface design elements that are functionally combined and used (intended) for insertion into the Bitrix24 software additional functionality, including the following:

2.1.1. Integration with IP-telephony based on Asterisk PBX for two users of Bitrix24.

2.2. The Bitrix24 software, the software for IP-telephony Asterisk, and Asterisk integration module are standalone computer programs.

2.2.1. The Bitrix24 software is a virtual environment that helps the End User to organize his work and interaction within his organization, including by setting and controlling the execution of the tasks by the employees, building various business processes, organizing internal corporate communication, using an online-store and other tools contained in the program. The computer programs for Bitrix24 and Asterisk are not the intellectual property of InformUnity. 

2.2.2. The Asterisk integration module computer program is the intellectual property of InformUnity that is distributed for no charge. 

2.3. The End User is notified and understands that Asterisk integration module is not intended for independent use outside the Bitrix24 environment and without connection with any IP-telephony programs. The acquisition and installation of the Asterisk integration module does not automatically imply that the End User receives any rights to use Bitrix24 computers programs and/or Telephony24 computer program.

2.4. Additional licensing and technical requirements: for Asterisk integration module to work correctly, the End User must preliminarily have the Bitrix24 software: Cloud or On-premise version with active license, as well as the FreePBX program starting from 13.0.121 version as part of the Asterisk program.

3. Terms of Use of the Computer Program

3.1. According to the License Agreement with the End User, the latter is given the right to use Asterisk integration module within the framework of the characteristics chosen when purchasing the computer program. 

3.2. The number of users. Upon the installation of Asterisk integration module, the End User is granted with the license that gives the right to register two users to provide them with access to the IP-telephony functionality in Bitrix24.

3.2.1. The corresponding rights are automatically given to any and all users of the End User who use the Computer Program.

3.2.2. InformUnity reserves the right to change the number of users within the framework of the provided licenses with prior notice to the End User. In this case, the End User may be asked to select new license characteristics at any moment by choice of InformUnity, including towards the license that is in effect when the the changes take place.

3.3. The ways of using the Computer Program include, but are not limited to:

3.3.1. one-time copying and installation;

3.3.2. transboundary transferring;

3.3.3. entering into the Computer Program information of users that gain access to new telephony functions in Bitrix24;

3.3.4. direct use of the Computer Program within the scope of its functionality;

3.3.5. communicating the Asterisk integration module to the public via the Internet. This method is limited to specific users of Bitrix24 of the End User, whose data will be entered in the registration form for the purpose of gaining access to the additional functionality of Bitrix24 within the number of such users selected by the End User when concluding this License Agreement;

3.3.6. the other ways that are required for the End User to provide its users with the possibility to implement the functionality of the Asterisk integration module in their Bitrix24.

3.4. The territory of use of the Computer Program is the territory of the whole world for the purposes of users of Bitrix24 of the End User to have access to the Computer Program by communicating it to the public.

4. InformUnity does not give the End User the right: 

4.1. To change the Computer Program or its parts in any ways, including but not limited to compiling, decompiling, decrypting and disclosing and/or changing the source code both in general and in any particular part;

4.2. To distribute the Computer Program on one's own behalf and/or with reference to the allegedly acquired rights to do so granted by the Licensor to third parties both for free and for a fee.

5. On its part, InformUnity guarantees to assist the End User with installing and using the Computer Program, when necessary. For that to happen, the End User should contact the InformUnity’s technical support service via the site https://informunity.us/

6. Intellectual rights, Warranties and Licensor's liability

6.1. Integration with Asterisk module is a computer program according to Article 1261 of the Civil Code of the Russian Federation and the international law. 

6.2. The Asterisk integration module computer program (as well as Telephony24) is the intellectual property of InformUnity and as such is protected by the law of the Russian Federation and by the international law. 

6.3. InformUnity confirms and guarantees that the company is the direct developer of the program both as a whole and of all its parts, and is fully authorized to enter into the License Agreement as the Licensor, as well as to establish the relevant regulations and restrictions of the Asterisk integration module use by the End User. 

6.4. InformUnity guarantees that while creating the Computer Program, the company did not use any intellectual property of the third parties, including but not limited to program code, databases, technologies, know-how, objects under patent protection, and means of personalization.

6.5. The Computer Program is delivered to the End User "as is".

6.6. InformUnity guarantees that the Computer Program is suitable for the purpose of increasing the functionality of IP-telephony of Bitrix24 within the terms described in the License Agreement.

6.7. InformUnity is not responsible for any discrepancies between the End User's expectations and the actual means obtained by using the Computer Program, including the ones due to the lack of the appropriate third-party software licenses (in the possession of the End User), a conflict between the Computer Program and the software installed by the End User, as well as due to other reasons.

6.8. InformUnity is not responsible for any harm caused by the Computer Program during its copying, installing, using directly and in all other ways. The End User assumes all such risks, including the loss of information, its disclosure to the third parties, the losses (including lost profits) due to use or non-use of the Computer Program and any other risks. 

7. Liability for violation of rights

7.1. The Licensee must use the Computer program only for the intended purpose within the scope of the License Agreement with the End User. 

7.2. For violation of the rights related to the Licensor's Computer Program, the liability shall be applied as established by the law of the Russian Federation and the international law. 

7.3. For violation of this License Agreement, the Licensee is liable under the laws of the Russian Federation.
