BiLoop

This License Agreement is concluded between InformUnity LLC (hereinafter also referred to as "InformUnity" and "Licensor") and the person who has the direct use of the BiLoop computer program, hereinafter referred to as "End User" and "BiLoop" or "Computer Program".

This license agreement is a non-exclusive license.

1. Conclusion of the License Agreement

1.1. This License Agreement is concluded at the moment the End User expresses his explicit consent to its terms by checking the box "I accept the terms of the License Agreement", which is placed below the text of the License Agreement in the BiLoop activation form, or in any other way that clearly states the willingness to use BiLoop for the intended purpose, including acquisition, installation, launch and actual work in the Computer Program.

1.2. If the End User does not accept the terms of the License Agreement, he must refuse to use BiLoop in any way, including all listed above, and he must remove the Computer Program from his personal computer, as well as from all other data storage devices.

2. BiLoop — program description and serviceability requirements

2.1. The BiLoop computer program is a set of data and commands expressed with the program code, database and program interface design elements that are functionally combined and used (intended) for insertion into the Bitrix24 software used by the End User (its employees within their access rights to the various types of information given them in Bitrix24 of the End User), additional functions listed in the description of the Computer Program given in the general form at information resource Bitrix24 — Marketplace and at https://informunity.us/ site, in user and technical documentation. 

2.2. The Bitrix24 software is a standalone computer program and is not the intellectual property of InformUnity.

2.2.1. The Bitrix24 software is a virtual environment that helps the End User to organize his work and interaction within his organization, including by setting and controlling the execution of the tasks by the employees, building various business processes, organizing internal corporate communication, using an online-store and other tools contained in the program.

2.3. The End User is notified and understands that BiLoop is not intended for independent use outside the Bitrix24 environment. At the same time, acquisition and installation of BiLoop do not automatically mean that the End User receives any right to use the Bitrix24 software. On the contrary, for the End User, the possibility to use BiLoop is established by the condition if the End User has a valid license for using Bitrix24 which he bought from InformUnity or any other authorized Licensor separately from BiLoop.

2.4. Additional licensing and technical requirements: for the BiLoop computer program to work correctly, the End User must preliminarily have the Bitrix24 software: Cloud or On-premise version with active license.

3. Terms of Use of the Computer Program

3.1. According to the License Agreement with the End User, the latter is given the right to use BiLoop within the framework of the characteristics chosen when purchasing (renewing) the license.

3.1.1. In case of installing and activating the Computer Program by downloading it from the Marketplace, such a choice appears after one calendar month from the activation moment.   

3.1.2. In all other cases, the Computer program is purchased directly from the Licensor, and the corresponding parameters (period, cost) of its license are determined before the payment.  

3.2. The number of users 

BiLoop allows access to the additional functions of Bitrix24 for all the End User’s employees within the limits of access rights to various types of information given to them in the End User's Bitrix24.

InformUnity reserves the right to change the number of users within the framework of the provided licenses with prior notice to the End User. In this case, the End User may be asked to select new license characteristics at any moment by the choice of InformUnity, including after the expiration date of the license — already paid and/or valid at the time of the change.

3.3. The ways of using the Computer Program include, but are not limited to:

3.3.1. one-time copying and installation;

3.3.2. transboundary transferring;

3.3.3. direct use of the Computer Program within the scope of its functionality;

3.3.4. communication BiLoop to the public. This way of using is limited to the provision of remote access to the Computer Program for the End User employees — the users of the End User's Bitrix24;

3.3.5. other ways of using that are required for the End User to provide its employees with the possibility to implement the functionality of BiLoop in their Bitrix24.

3.4. The territory of use of the Computer Program is the territory of the whole world.

3.5. InformUnity does not give the End User the right:

3.5.1. To change the Computer Program or its parts in any ways, including but not limited to compiling, decompiling, decrypting and disclosing and/or changing the source code both in general and in any particular part;

3.5.2. To distribute the Computer Program on one's own behalf and/or with reference to the allegedly acquired rights to do so granted by the Licensor to third parties both for free and for a fee.

3.6. On its part, InformUnity guarantees to assist the End User with installing and using the Computer Program, when necessary. For that to happen, the End User should contact the InformUnity’s technical support service via the site https://informunity.us/.

4. Intellectual rights, Warranties and Licensor's liability

4.1. BiLoop is a computer program according to Article 1261 of the Civil Code of the Russian Federation and the international law.

4.2. The BiLoop computer program is the intellectual property of InformUnity and as such is protected by the law of the Russian Federation and by the international law.

4.3. InformUnity confirms and guarantees that the company is the direct developer of the program both as a whole and of all its parts, and is fully authorized to enter into the License Agreement as the Licensor, as well as to establish the relevant regulations and restrictions of the BiLoop use by the End User.

4.4. InformUnity guarantees that while creating the Computer Program, the company did not use any intellectual property of the third parties, including but not limited to program code, databases, technologies, know-how, objects under patent protection, and means of personalization.

4.5. The Computer Program is delivered to the End User "as is".

4.6. InformUnity guarantees that the Computer Program is suitable for the purpose of increasing the functionality of Bitrix24 within the terms described in the License Agreement.

4.7. InformUnity is not responsible for any discrepancies between the End User's expectations and the actual means obtained by using the Computer Program, including the ones due to the lack of the appropriate third-party software licenses (in the possession of the End User), a conflict between the Computer Program and the software installed by the End User, as well as due to other reasons.

4.8. InformUnity is not responsible for any harm caused by the Computer Program during its copying, installing, using directly and in all other ways. The End User assumes all such risks, including the loss of information, its disclosure to the third parties, the losses (including lost profits) due to use or non-use of the Computer Program and any other risks.

5. Liability for violation of rights

5.1. The Licensee must use the Computer program only for the intended purpose within the scope of the License Agreement with the End User.

5.2. For violation of the rights related to the Licensor's Computer Program, the liability shall be applied as established by the law of the Russian Federation and the international law.

5.3. For violation of this License Agreement, the Licensee is liable under the laws of the Russian Federation.
