End User License Agreement

This License Agreement is concluded between INFORMUNITY LLC (hereinafter also referred to as "INFORMUNITY" and "Licensor") and a person who has the direct use of the Call Center Wizard computer program, hereinafter referred to as "End User" and "Call Center Wizard" or "Computer Program".

This license agreement is a non-exclusive license.

1. Conclusion of the License Agreement

1.1. This License Agreement is concluded at the moment the End User expresses his explicit consent to its terms by checking the box "I accept the terms of the License Agreement", which is placed below the text of the License Agreement in the Call Center Wizard activation form, or in any other way that clearly states the willingness to use Call Center Wizard for the intended purpose, including acquisition, installation, launch and actual work in the Computer Program. 

1.2. If the End User does not accept the terms of the License Agreement, he must refuse to use Call Center Wizard in any way, including all listed above, and he must remove the Computer Program from his personal computer, as well as from all other data storage devices.

2. Call Center Wizard — program description and serviceability requirements

2.1. The Call Center Wizard computer program is a set of data and commands expressed with the program code, database and program interface design elements that are functionally combined and used (intended) for insertion into the Bitrix24 software used by the End User both separately (if it has VoIP telephony in it), and in conjunction with the use of any other computer program that provides the functions of VoIP telephony (hereinafter referred to as "VoIP telephony program"), and additional functionality, including:

2.1.1. forming various scenarios of communication with customers and fixing them with the respective operators;

2.1.2. creating action buttons for processing leads/contacts/ companies (call back, change lead status, schedule a meeting, create a task, etc.);

2.1.3. configuring the call card interface - during a call, an operator sees only those fields that are necessary for work (customer data and interaction history).

2.2. The Bitrix24 software and the VoIP telephony program are standalone computer programs and are not the intellectual property of INFORMUNITY.

2.2.1. The Bitrix24 software is a virtual environment that helps the End User to organize his work and interaction within his organization, including by setting and controlling the execution of the tasks by the employees, building various business processes, organizing internal corporate communication, using an online-store and other tools contained in the program.

2.3. The End User is notified and understands that Call Center Wizard is not intended for independent use outside the Bitrix24 environment and with no connection to the VoIP telephony program. At the same time, acquisition and installation of Call Center Wizard do not automatically mean that the End User receives any right to use the Bitrix24 software and/or the VoIP telephony program. On the contrary, for the End User, the possibility to use Call Center Wizard is established by the condition if the End User has a valid license for using Bitrix24 which he bought from INFORMUNITY or any other authorized Licensor separately from Call Center Wizard, and whether he has a pre-installed VoIP telephony program.

2.4. Additional licensing and technical requirements: for the Call Center Wizard computer program to work correctly, the End User must preliminarily have the Bitrix24 software: Cloud or On-premise version with active license, as well as a VoIP telephony program (if desired).

3. Terms of Use of the Computer Program

3.1. According to the License Agreement with the End User, the latter is given the right to use Call Center Wizard within the framework of the characteristics chosen when purchasing or renewing the license in personal cabinet of the Computer program.

3.2. Number of users. Depending on the number of users with the right to access additional functionality of Bitrix24, when installing Call Center Wizard the End User may be granted with a license that includes the right to register and provide the available functionality to one or more users according to a personal plan approved by INFORMUNITY or offered to the End User as part of a contractual relationship.

The corresponding rights are established for specific users in the Access Rights section of the Computer Program.

INFORMUNITY reserves the right to change the number of users within the framework of the provided licenses with prior notice to the End User. In this case, the End User may be asked to select new license characteristics at any moment by the choice of INFORMUNITY, including after the expiration date of the license — if it is already paid and/or valid at the time of the change.

The ways of using the Computer Program include, but are not limited to:

3.2.1. one-time copying and installation;

3.2.2. transboundary transferring;

3.2.3. entering the users' info who get access to new telephony features of Bitrix24 into the Computer Program;

3.2.4. direct use of the Computer Program within the scope of its functionality;

3.2.5. communicating Call Center Wizard to the public. This way of using is limited to specific users of End User's Bitrix24 whose data will be indicated in the registration form to gain access to additional functionality of Bitrix24 within the number of these users chosen by the End User upon conclusion of this License Agreement;

3.2.6. other ways of using that are required for the End User to provide its employees with the possibility to implement the functionality of Call Center Wizard in their Bitrix24.

3.3. The territory of use of the Computer Program is the territory of the whole world for the purpose of giving access to the End User's users to the Computer Program by communicating it to the public. 

4. INFORMUNITY does not give the End User the right: 

4.1. To change the Computer Program or its parts in any ways, including but not limited to compiling, decompiling, decrypting and disclosing and/or changing the source code both in general and in any particular part;

4.2. To distribute the Computer Program on one's own behalf and/or with reference to the allegedly acquired rights to do so granted by the Licensor to third parties both for free and for a fee.

5. On its part, INFORMUNITY guarantees to assist the End User with installing and using the Computer Program, when necessary. For that to happen, the End User should contact the INFORMUNITY’s technical support service via the site https://informunity.us/

6. Intellectual rights, Warranties and Licensor's liability

6.1. Call Center Wizard is a computer program according to Article 1261 of the Civil Code of the Russian Federation and the international law. 

6.2. The Call Center Wizard computer program is the intellectual property of INFORMUNITY and as such is protected by the law of the Russian Federation and by the international law. 

6.3. INFORMUNITY confirms and guarantees that the company is the direct developer of the program both as a whole and of all its parts, with some exceptions listed in the next paragraph of this section, and is fully authorized to enter into the License Agreement as the Licensor, as well as to establish the relevant regulations and restrictions of Call Center Wizard use by the End User. 

6.4. INFORMUNITY guarantees that while creating the Computer Program, the company did not use any other intellectual property of the third parties except the list above, including but not limited to program code, databases, technologies, know-how, objects under patent protection, and means of personalization.

6.5. The Computer Program is delivered to the End User "as is".

6.6. INFORMUNITY guarantees that the Computer Program is suitable for the purpose of increasing the functionality of Bitrix24 within the terms described in the License Agreement.

6.7. INFORMUNITY is not responsible for any discrepancies between the End User's expectations and the actual means obtained by using the Computer Program, including the ones due to the lack of the appropriate third-party software licenses (in the possession of the End User), a conflict between the Computer Program and the software installed by the End User, as well as due to other reasons.   

6.8. INFORMUNITY is not responsible for any harm caused by the Computer Program during its copying, installing, using directly and in all other ways. The End User assumes all such risks, including the loss of information, its disclosure to the third parties, the losses (including lost profits) due to use or non-use of the Computer Program and any other risks. 

7. Liability for violation of rights

7.1. The Licensee must use the Computer program only for the intended purpose within the scope of the End User License Agreement. 

7.2. For violation of the rights related to the Licensor's Computer Program, the liability shall be applied as established by the law of the Russian Federation and the international law. 

7.3. For violation of this License Agreement, the Licensee is liable under the law of the Russian Federation.
